Topic: Audit and Risk Terms of Reference, a Clarification

A resident, (who attended the Open Meeting last week), has emailed me to seek clarification of a point made at the meeting.

Although I was not able to attend, I understand that trustees may have replied that the Montagu Evans QSR was obtained without the correct authority. 

This is not the case, although it may suit the conflicted trustees to say otherwise, given that the QSR confirms a £1.5m loss on the sale of the access to Wandsworth.

The ME QSR was procured on the authority of the majority of the members of the A&R Committee.  At the inaugural, (2 July) A&R meeting, there was an agenda item in respect of Putney Hospital (which the board mandated the ARC oversight of).  When it was suggested that an independent retrospective QSR should be obtained to ascertain the true value of the access, Prue Whyte, Ian Andrews and Simon Lee staged a walkout.  The walkout was not spontaneous.

The A&R committee terms of reference were approved at the June board meeting of the trustees.  The minutes state;

RESOLVED: The Board agreed:

1.  the schedule of dates subject to any changes each Committee may wish to make

2.  that Communications should have substantive status as a main committee.

3.  the Terms of Reference for each of the substantive Committees, subject to any changes each Committee may make after their first meeting.  Any such changes to be brought to the September Board meeting for its approval.

The board approved terms of reference for the Audit and Risk Committee state (in part);

2. Authority

The audit & risk committee is authorised by the board:

• to investigate any activity within its terms of reference;

• to seek any information it requires and to ensure the attendance of management representatives at meetings as appropriate;

• to obtain outside legal or independent professional advice. The advisers may attend meetings as necessary and the cost of the advisers shall be borne by WPCC. The committee shall comply with any decisions concerning payments to external advisors which the board may make from time to time;

• for the chair of the committee, in consultation with the chief executive and/or other professional advisors, to determine which matters being considered by the committee are confidential and all committee members must keep all such confidential matters confidential outside meetings;

Residents following developments will also be aware that the charity suspended the committees, which were introduced to bring higher standards of governance.
