This is a response from WBC to a resident, who asked how much WBC paid WPCC for the land at Putney Hospital.  Names have been removed, but I was given permission to post this,  Honest.  Not a word you can use often on this thread.

Freedom of Information Act request - 2012/5961 - Cost of right of way

I write in response to your email dated 11 April 2012 in which you highlight dissatisfaction with the Council's response to your recent Freedom of Information Act request.

On 23 March 2012 you requested the following information:

Please can you advise me the amount agreed by Wandsworth Borough Council to be paid to the Wandsworth and Putney Commons' Conservators for the proposed Right of Way from the Lower Richmond Road to the proposed block of flats, behind the proposed school.

A response to your request was provided on 10 April 2012, a copy of which is attached for reference.

The Council's response stated that it considered the requested information to be exempt under s.43(2) of the Freedom of Information Act. The response then went on to consider whether disclosure of the requested information was nevertheless in the public interest, concluding that as the agreement was only conditional and was yet to complete that the public interest in this instance lay in maintaining the exemption. The response also noted that the need for confidentiality was a temporary measure whilst the agreement was conditional and that the information would be published by and available from the Land Registry once the transaction was completed.

Following your email of 11 April 2012, the Council has conducted an internal review of your request, as part of which it has determined that your request was for environmental information as defined in Regulation 2(1) of the Environmental Information Regulations 2004 ('the Regulations'), and that accordingly it should deal with your request under the Regulations rather than the Freedom of Information Act
('the Act'). Following your email of 10 May, the Council informed you in its email of 10 May that it was now considering your request under the Regulations rather than the Act.

I understand that you have subsequently submitted a complaint as to the manner in which your request has been handled. This review addresses this and sets out the reason for this change in the appropriate access regime.

The Regulations implement European Council Directive 2003/4/EC on public access to environmental information and provide a separate mechanism for access to information where this is environmental information. This is in recognition of the particularly high public interest in the disclosure of information on activities that have an impact on the environment.

Environmental information is given the same definition as in Article 2(1) of the Directive, a copy of which is provided at Appendix 1.

Article 2(1 )(c) states that information will fall within the scope of the Regulations if it concerns a measure or activity likely to affect the elements and factors referred to in Articles 2(1 )(a) and (b) respectively.

The Council considers the disposal of a piece of land for use as a right of way is an activity that is likely to affect both the elements in Article (2)(1 )(a) and the factors in 2(1)(b) and that as such, information concerning the purchase price of this is environmental information. Environmental information that falls within the scope of the Regulations is deemed exempt from disclosure under s.39 Freedom of
Information Act, and must instead be considered under the Regulations. Under Regulation 12(1), a public authority may refuse to disclose environmental information if:

(a) it comes within one of the exceptions in the Regulations; and

(b) in all the circumstances of the case, the public interest in maintaining the exception outweighs the public interest in disclosing the information. The Council considers that the conditionally agreed price between the Council and the Conservators for the sale of the right of way falls within Exception 12(5)(e) of the Regulations and that in the circumstances of the case, the public interest lies in
maintaining the exception.

Exception 12(5)(e) Confidentiality of commercial or industrial information where such confidentiality is provided by law to protect a legitimate economic interest An authority can refuse to release information in response to a request where the information in question is commercial or industrial in nature, where it arises in circumstances which impart an obligation of confidentiality that is intended to protect a legitimate economic interest and where disclosure would be to the detriment of this.

In this instance, the requested information is commercial in nature as it relates to the value of the transaction of a piece of land, a conditional agreement for the disposal of which has been reached but which has not yet been concluded. The nature of the transaction imparts a duty of confidence regarding the value that continues until the transaction is concluded. The parties entered into the negotiations with the
expectation that the information would remain confidential until this was concluded, evidenced in part by the confidentiality agreement between them.

That duty of confidentiality is intended to protect the legitimate economic interests of both the Council as purchaser and the Conservators as vendor, by ensuring that they are able to negotiate freely with one another to the exclusion of any other interested party. The disclosure of this information before negotiations are concluded would clearly be of detriment to both parties, as this would undermine the ability of each to bargain freely by revealing this information to any other parties who could use this information to submit offers themselves. The Council has sought the opinion of the Conservators, who are also of the opinion that this information is commercially sensitive and will remain so until the negotiations have concluded.

Under the Regulations, the Council must also demonstrate that the public interest in maintaining the exception outweighs the public interest in disclosing the information. The Council notes that Regulation 12(2) imparts a presumption in favour of disclosure when considering where the public interest lies, and recognises that there is a strong public interest in the public participation in planning matters, as well as in the transparency of its proceedings generally and specifically in the financial arrangements it enters into to ensure the responsible use of public resources. Nevertheless, the Council must also consider the considerable public interest in maintaining commercial confidentialities, an interest that is particularly acute when as in the instant case proceedings are ongoing. Contingent upon this, the Council must also consider the public interest in ensuring public resources are spent effectively by securing best value for taxpayers. The public interest in ensuring the responsible and appropriate use of public resources is predicated upon the ability of the Council to negotiate commercial transactions in confidence. Without this, the Council could not negotiate in confidence and would be vulnerable to counteroffers from competitors, significantly impairing its ability to secure best value.

The Council notes that much of the non-financial information regarding the agreement is already in the public domain. The Council also considers that in this instance, the public interest in the transparency of its financial transactions will be adequately met by the disclosure of the agreed price once the  transaction is complete, when this information will be publicly available from the Land Registry.
For this reason, the Council considers that the information you have requested should not be disclosed under Exception 12(5)(e) of the Environmental Information Regulations as it is commercial information arising from circumstances which impart a duty of confidence that is intended to protect a legitimate economic interest and that disclosure would detrimentally affect the commercial interests of both the
Council and the Conservators. However, the Council should have considered your request under the Regulations at the first instance, rather than under the Freedom of Information Act. Please accept my apologies for this.

Whilst I appreciate that this response does not provide the information you were originally looking for, I hope that this information is nevertheless of some use to you in explaining why the information cannot be released until negotiations are concluded, at which point it will be publicly available.

Appendix 1

Directive 2003/4/EC of the European Parliament and of the Council
of 28 January 2003 on public access to environmental information and
repealing Council Directive 90/313/EEC Article 2

Definitions

For the purposes of this Directive:

1. "Environmental information" shall mean any information in written, visual,
aural, electronic or any other material form on:
(a) the state of the elements of the environment, such as air and atmosphere, water,
soil, land, landscape and natural sites including wetlands, coastal and marine areas,
biological diversity and its components, including genetically modified organisms,
and the interaction among these elements;
(b) factors, such as substances, energy, noise, radiation or waste, including
radioactive waste, emissions, discharges and other releases into the environment,
affecting or likely to affect the elements of the environment referred to in (a);
(c) measures (including administrative measures), such as policies, legislation,
plans, programmes, environmental agreements, and activities affecting or likely to
affect the elements and factors referred to in (a) and (b) as well as measures or
activities designed to protect those elements;
(d) reports on the implementation of environmental legislation;
(e) cost-benefit and other economic analyses and assumptions used within the
framework of the measures and activities referred to in (c) ; and
(f) the state of human health and safety, including the contamination of the food
chain, where relevant, conditions of human life, cultural sites and built structures
inasmuch as they are or may be affected by the state of elements of the environment
referred to in (b) and (c);
